General Agreement and Acceptance

Please review these Terms carefully. They govern the services provided, the conditions of sale for all transactions, and outline associated responsibilities, charges, and taxes. These Terms also address future amendments, limitations of liability, and the resolution of disputes. By accessing or utilizing any of our Services, you signify your full agreement to these Terms. If you do not consent to all provisions outlined herein, you are not authorized to use The PhotoVerse Services.

Key Definitions

For the purpose of this Agreement:

• Service(s): Refers to all The PhotoVerse websites, marketplace features, applications, tools, products, and related offerings.
• User: Any person or entity accessing or utilizing the Services, including Artists, Collectors, and Guests.
• Item: Any fine art photography print or related product listed, offered, or made available through the Services.
• Artist/Vendor: Any User who lists, offers, or sells Items through The PhotoVerse.
• Buyer/Collector: Any User who uses the Services to inquire about or purchase Items.

1. Platform & Enrollment

The PhotoVerse operates a curated marketplace facilitated by the PuppetVendors platform. To list and sell artwork, artists/vendors must create and maintain an account on PuppetVendors platform and agree to its respective terms of use.

2. Commission & Fees

There are no upfront platform fees required to list featured artwork. The PhotoVerse will retain a pre-agreed commission percentage from the final sale price of each item to cover internal, operational, and marketing costs. This commission rate is established during prior setup communications and will be displayed within your Puppet Vendors portal.

3. Activation of Collaboration & Written Agreement

The creation of a PuppetVendors account is the first step. Collaboration is considered active only upon confirmation via a separate written email agreement between the Artist and Tate Wade LLC. This agreement will explicitly detail specifics such as the commission terms, shipment, and insurance responsibilities for the listed art pieces. Artwork will only be put live on the platform after this written agreement is finalized and confirmed.

4. Payouts & Currency

Payout calculations are executed by the PuppetVendors platform. Tate Wade LLC commits to processing the corresponding payment (payout) of the sold item to the Artist within fifteen (15) days following the date of shipment. Current payment options include:

• Switzerland & EU: PayPal and Twint.
• International: Primarily PayPal.

Payment options may be updated or expanded based on business needs and regional growth. The Artist is responsible for any transaction fees or currency conversion costs incurred by the payment provider.

4. Listing & Pricing Authorization

By listing an item, the Artist grants The PhotoVerse the express right to:

• Display the artwork on the website at the mutually agreed-upon sale price.
• Reproduce (in low-resolution for display) and describe the artwork accurately.
• The Artist confirms they possess all necessary rights, title, and interest in the listed artwork.

6. Marketing & Promotion Rights

The Artist grants The PhotoVerse a royalty-free, non-exclusive license to promote and market the listed artwork and the collaboration itself across all digital and physical channels, including social media. The PhotoVerse is permitted to tag and use the Artist's name and likeness in promotional materials, unless explicitly prohibited by a separate, formal written agreement.

7. Sales Disclaimer & Termination

The PhotoVerse provides an additional visibility platform for the Artist's work and does not guarantee any minimum sales volume or revenue. Either party may terminate the listing agreement for any specific artwork or the entire collaboration with a written 30 days notice period subject to the fulfillment of any pending sales obligations.
